About Dave Filov

Dave’s practice focuses on ASX listed entities, and he brings to the firm his extensive knowledge as a Principal Adviser in the Listings Compliance unit at the ASX.

He advises on equity capital markets, corporate governance, and ASX and ASIC compliance issues.

Dave has extensive knowledge of the JORC Code 2012 and the SPE-PRMS, and regularly assists mining, resources and oil and gas clients in preparing compliant ASX announcements— including DFS, PFS and scoping study announcements, reserve and resource estimates and general exploration results.

Relevant experience includes advising:

  • NexGen Energy Ltd: on its $250m placement
  • Patriot Battery Metals: on its ASX dual listing and C$75m (2024) and C$50m (2023) private placements by way of Canadian charity flow-through offers
  • Patriot Battery Metals strategic investment: on its US$48m placement to and associated offtake with Volkswagen
  • Liontown: on the US$250m convertible note and 10-year offtake extension from foundational partner LG Energy Solution
  • Livent: on the ASX aspects of its proposed merger with Allkem to form a $15.7bn global lithium chemicals producer
  • Newmont: in relation to the ASX aspects of the sale of Newmont's Telfer mining operation in WA and its 70% interest in the Havieron development project, to Greatland Gold for US$475m
  • Burgundy Diamond Mines: on the acquisition of the Ekati Diamond Mine, the associated approximately $231m capital raising and ASX re-compliance listing
  • Minerals 260: on its acquisition of the Bullabulling Gold Project, the associated $220m capital raising and ASX re-compliance listing
  • Talga Resources: on the $40m institutional placement to fund further development at the Vittangi Anode Project (2023), and on the $32m capital raising by way of $22m institutional placement and $10m share purchase plan (2022)
  • Civmec: on its redomicile from Singapore to Australia
  • New Century Resources: in relation to the ASX reverse takeover following acquisition of the Century Zinc mine, and multiple subsequent capital raisings such as:
    • $116.7m capital raising including a 19.99% conditional placement to strategic investor Sibanye-Stillwater for $61m, institutional placement and fully underwritten entitlement offer
    • $51.1m capital raising via placement and fully underwritten accelerated non-renounceable entitlement offer, including $23.775m private placement with IGO Limited in 2020 to give IGO a 18.4% interest in New Century
    • $42.5m fully underwritten institutional placement
    • $40m fully underwritten institutional placement
  • Core Lithium on:
    • $120m capital raising by way of placement and share purchase plan (2023)
    • $100m fully underwritten institutional placement (2022)
    • $155m capital raising by way of:
      • $91m fully underwritten institutional placement
      • $34m placement to Ganfeng (together with a four-year binding offtake agreement)

  • Hawkstone Mining: on its recapitalisation via deed of company arrangement, acquisition of USA Lithium and various secondary capital raisings
  • Initial public offerings for junior exploration companies such as Golden Horse, Podium Minerals, Piche, Albion Resources, Rubix Resources, QEM and Torrens Mining
